VENDOR AGREEMENT

This Vendor Agreement ("Agreement") is made and entered into by and between Indigo Pups, Inc. ("Organizer") and the undersigned vendor ("Vendor") for the purpose of setting forth the terms and conditions for the sale, display, and/or promotion of goods and/or services at The Dog Market ("Event"). By signing this Agreement, the Vendor agrees to be bound by the following terms and conditions:

1. Event Date and Location The Event will take place on 5/31/25 at Van Saun County Park - Pavilion F. The Vendor agrees to arrive, set up, and be ready for the Event at the designated time and location specified by the Organizer.

2. Rain or Shine Clause The Event will occur regardless of weather conditions, and the Organizer shall not be responsible for any loss, damage, or other expenses incurred by the Vendor due to weather conditions, including but not limited to rain, wind, or any other natural occurrences. The Vendor acknowledges that the Event will proceed "Rain or Shine."

3. No Illegal Items The Vendor agrees not to sell, distribute, or display any illegal items or contraband as defined by federal, state, or local laws and regulations. The Organizer reserves the right to immediately remove any Vendor whose products are found to be in violation of applicable laws, and the Vendor will forfeit any fees paid without the right to a refund.

4. Fees and Payments The Vendor agrees to pay all applicable fees in full as outlined by the Organizer. Payment is due no later than [Payment Deadline]. If the Vendor fails to make payment by the due date, the Organizer reserves the right to cancel the Vendor's participation in the Event.

5. No Liability The Organizer is not responsible for any loss, theft, or damage to the Vendor’s property before, during, or after the Event. The Vendor agrees to hold harmless and indemnify the Organizer from any claims, liabilities, damages, or legal actions resulting from the Vendor's participation in the Event, including but not limited to personal injury, property damage, and product-related claims.

6. No Refunds Once the Vendor's payment has been made and the Vendor has been confirmed for participation in the Event, there will be no refunds under any circumstances. This includes situations of vendor cancellation, inclement weather, or any other reasons for non-participation.

7. Setup and Breakdown The Vendor agrees to set up and dismantle their booth or space within the designated hours as provided by the Organizer. Early setup or late breakdown is not permitted without prior approval. All equipment, signage, and promotional material must be removed from the Event location by [Breakdown Time].

8. Compliance with Laws and Regulations The Vendor agrees to comply with all local, state, and federal laws, including health and safety regulations, fire codes, and zoning laws. The Vendor is responsible for obtaining all necessary licenses, permits, and insurance coverage required to operate their business during the Event.

9. Conduct at the Event The Vendor agrees to behave in a professional and courteous manner at all times during the Event. The Organizer reserves the right to remove any Vendor who engages in inappropriate, disruptive, or illegal conduct. The Vendor acknowledges that the Organizer has sole discretion in determining what constitutes inappropriate conduct.

10. Assignment of Booth Space The Organizer will assign booth space to the Vendor based on availability and logistical requirements. The Vendor may not sublet, assign, or transfer their space to another party without the prior written consent of the Organizer.

11. Insurance The Vendor is responsible for maintaining their own insurance coverage to protect against risks associated with their participation in the Event, including liability, property damage, and injury to persons. The Vendor shall provide proof of insurance to the Organizer upon request.

12. Intellectual Property The Vendor represents and warrants that they have all necessary rights to any intellectual property (such as trademarks, logos, or copyrighted materials) they use during the Event. The Vendor agrees to indemnify and hold harmless the Organizer from any claims arising from the Vendor’s use of such intellectual property.

13. Indemnification The Vendor agrees to indemnify, defend, and hold harmless the Organizer, its employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, expenses, or legal actions arising out of the Vendor’s participation in the Event, including but not limited to claims arising from product defects, personal injuries, or violations of laws or regulations.

14. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of [State Name], without regard to its conflict of law principles. Any legal disputes arising from this Agreement shall be resolved in the appropriate courts of Ramsey, NJ.

15. Force Majeure The Organizer shall not be held liable for any failure to perform its obligations under this Agreement if such failure is due to causes beyond the reasonable control of the Organizer, including but not limited to natural disasters, acts of government, or other unforeseen events that make performance of the Event impossible or impractical.

16. Entire Agreement This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior understandings, agreements, or representations, whether oral or written, related to the Event.

17. Modifications Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

18. Acknowledgment and Acceptance By signing below, the Vendor acknowledges that they have read and understood the terms of this Agreement and agree to abide by its terms and conditions.
